By accessing or using Horizyn (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and OmniActus ("we", "us", or "our"), the company operating Horizyn.
You must be at least 18 years of age to use Horizyn. By using the Service, you represent and warrant that you meet this requirement.
Horizyn is designed for post-secondary students and adult learners. We do not permit use of the Service by anyone under the age of 18.
By creating an account, you represent that all information you provide is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@hrizyn.com if you suspect any unauthorized access to your account.
You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorized account access resulting from your failure to keep your credentials secure.
We reserve the right to suspend or terminate your account if any information you provide is found to be inaccurate, outdated, or incomplete, or if you are found to be in violation of these Terms.
Horizyn offers the following subscription tiers: Free, Pro, and Plus. Paid plans are available on monthly, semesterly, and yearly billing periods. Plan features and pricing are described on our pricing page and are subject to change with reasonable notice.
All paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis for the applicable subscription fee.
You will receive access to your paid plan features until the end of your current billing period, regardless of when you cancel.
Free plan users are subject to feature and usage limitations as described on our pricing page. We reserve the right to modify Free plan limitations at any time.
All prices are listed in USD. Applicable taxes (including GST/HST for Canadian users) may be added at checkout in accordance with applicable law.
Payments are processed securely by Stripe. By providing payment information, you agree to Stripe's Terms of Service. We do not store your full payment details on our servers.
All purchases are final. We do not offer refunds, credits, or prorated amounts for any subscription fees, partial billing periods, or unused time on a plan.
If you believe you have been charged in error, please contact us at support@hrizyn.com and we will investigate on a case-by-case basis. Any exceptions to this policy are made solely at our discretion.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.
Upon cancellation, your account will revert to the Free plan. If your usage exceeds Free plan limits (for example, the number of courses), you will be required to designate which data to retain before cancellation is finalized.
Upon account deletion, we will permanently delete your personal information, course data, syllabuses, and any AI-generated content associated with your account.
We retain anonymized or aggregated analytics data (such as API usage statistics) indefinitely, as this data cannot be linked back to you as an individual once your account is deleted.
Your use of Horizyn is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
You agree to use Horizyn only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to suspend or terminate access for any user found to be in violation of these rules, without notice or liability.
All content, features, and functionality of Horizyn, including but not limited to software, text, graphics, logos, and designs, are owned by or licensed to OmniActus and are protected by applicable intellectual property laws.
You retain ownership of any content you upload or create within the Service (such as course data and syllabuses). By using the Service, you grant us a limited, non-exclusive license to store and process your content solely for the purpose of providing the Service to you.
You may not reproduce, distribute, modify, or create derivative works of any part of our Service without our express written permission.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, OMNIACTUS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content available through the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNIACTUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If such negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this document and, where appropriate, notify you by email or through the Service.
Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for violations of these Terms.
Upon termination, your right to use the Service will immediately cease. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law shall survive termination.
