By accessing or using Horizyn (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and OmniActus ("we", "us", or "our"), the company operating Horizyn.
You must be at least 18 years of age to use Horizyn. By using the Service, you represent and warrant that you meet this requirement.
Horizyn is designed for post-secondary students and adult learners. We do not permit use of the Service by anyone under the age of 18.
By creating an account, you represent that all information you provide is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@hrizyn.com if you suspect any unauthorized access to your account.
You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorized account access resulting from your failure to keep your credentials secure.
We reserve the right to suspend or terminate your account if any information you provide is found to be inaccurate, outdated, or incomplete, or if you are found to be in violation of these Terms.
Horizyn offers the following subscription tiers: Free, Pro, and Plus. Paid plans are available on monthly, semesterly, and yearly billing periods. Plan features and pricing are described on our pricing page and are subject to change with reasonable notice.
All paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis for the applicable subscription fee.
You will receive access to your paid plan features until the end of your current billing period, regardless of when you cancel.
Free plan users are subject to feature and usage limitations as described on our pricing page. We reserve the right to modify Free plan limitations at any time.
Prices are listed in US dollars (USD) unless a regional price in your local currency is shown to you, for example Canadian dollars (CAD) for users in Canada or Indian rupees (INR) for users in India. Your regional price is set when you create your account and is the price you are charged. Applicable taxes (including GST/HST for Canadian users) may be added at checkout in accordance with applicable law. Prices shown in Indian rupees already include applicable Indian GST.
Payments are processed securely by Stripe. By providing payment information, you agree to Stripe's Terms of Service. We do not store your full payment details on our servers.
Paid plans purchased in Indian rupees (INR) are sold through Link, a service of Stripe, which acts as the seller (merchant of record) for that purchase. Link processes your payment, collects and remits applicable Indian taxes, issues your receipts, and can help with billing questions about your order. Your purchase is also subject to Link's terms, which are shown at checkout. Learn more about purchases sold through Link.
Access to Horizyn and all features of your plan are provided by us under these Terms. You can manage or cancel an INR subscription from your account settings or from your Link account.
All purchases are final. We do not offer refunds, credits, or prorated amounts for any subscription fees, partial billing periods, or unused time on a plan.
If you believe you have been charged in error, please contact us at support@hrizyn.com and we will investigate on a case-by-case basis. Any exceptions to this policy are made solely at our discretion.
Nothing in this section limits any rights you may have under applicable consumer protection laws, including any cancellation or cooling off period required where you live. For purchases sold through Link (see section 3.6), Link may also issue refunds under its own policies and applicable law.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.
Upon cancellation, your account will revert to the Free plan. If your usage exceeds Free plan limits (for example, the number of courses), you will be required to designate which data to retain before cancellation is finalized.
Upon account deletion, we will permanently delete your personal information, course data, syllabuses, your practice exam sessions (including scores and results), and any other AI-generated content associated with your account.
Generated practice questions, the key concepts used to grade your responses, and any free-text answer you submitted during a study session are not deleted with your account. Once your practice exam sessions are deleted, this content is no longer linked to you and is retained in that de-identified form, as described in our Privacy Policy.
We retain anonymized or aggregated analytics data (such as API usage statistics) indefinitely, as this data cannot be linked back to you as an individual once your account is deleted.
Your use of Horizyn is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
Horizyn offers optional integrations with third-party services, including signing in with Google and connecting Google Calendar. If you choose to use these features, you are also agreeing to be bound by the applicable terms of that provider, including Google's Terms of Service. We are not responsible for the availability, accuracy, or performance of any third-party service.
You may disconnect a third-party integration at any time through your account settings, or by revoking access directly through the provider. Disconnecting an integration does not affect your ability to use the core Service.
Holly is Horizyn's study assistant. If you opt in, Holly sends you recurring text messages by SMS or WhatsApp, including deadline reminders, account setup messages, replies to your questions and occasional check ins. You can also text Holly to look up deadlines, log grades and send your syllabus as a PDF or photos. Holly does not send marketing messages.
You can opt in by texting HOLLY (or any message) to +1 (888) 296-8656 and replying YES, or by verifying your phone number and turning on Holly texts in your account settings. Consent to receive text messages is not a condition of using Horizyn or of any purchase.
Message frequency varies based on your deadlines and how often you message Holly. Message and data rates may apply, depending on your mobile plan.
You can cancel at any time by replying STOP to any message. You will receive one final message confirming that you have been unsubscribed, and no further messages will be sent unless you opt in again by replying START. You can also turn off Holly texts in your account settings. For help, reply HELP or email support@hrizyn.com.
Mobile carriers are not liable for delayed or undelivered messages. Message delivery depends on your carrier and network, and we cannot guarantee that every message will be delivered or arrive on time. Holly is a study aid: you remain responsible for your own deadlines and coursework.
You agree to provide a mobile number that you own or are authorized to use, and to tell us if it changes. We do not sell or share your phone number or opt in data with third parties for marketing. How we handle text messaging data is described in our Privacy Policy.
You agree to use Horizyn only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to suspend or terminate access for any user found to be in violation of these rules, without notice or liability.
All content, features, and functionality of Horizyn, including but not limited to software, text, graphics, logos, and designs, are owned by or licensed to OmniActus and are protected by applicable intellectual property laws.
You retain ownership of any content you upload or create within the Service (such as course data and syllabuses). By using the Service, you grant us a limited, non-exclusive license to store and process your content solely for the purpose of providing the Service to you.
You may not reproduce, distribute, modify, or create derivative works of any part of our Service without our express written permission.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, OMNIACTUS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content available through the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNIACTUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If such negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this document and, where appropriate, notify you by email or through the Service.
Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for violations of these Terms.
Upon termination, your right to use the Service will immediately cease. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law shall survive termination.
